Terms of Service
Effective October 31, 2026
The agreement between you and Orbio Labs LLC for the Orbio API, the dashboard, the tools and the protocol interface.
01Agreement
These Terms of Service are an agreement between you and Orbio Labs LLC, a Wyoming limited liability company (“Orbio”, “we”, “us”). They govern your use of orbio.so and its subdomains, the Orbio API and gateway, the MCP server, the SDK, the tool catalogue, Sign in with Orbio, the agent launchpad and the protocol interface (together, the “Services”).
By ticking the agreement box, creating an account, connecting a wallet, using an API key or otherwise using the Services, you accept these Terms and the Privacy Policy. If you use the Services for an organization, you accept them on its behalf and confirm you have authority to do so.
02Eligibility
You must be at least 18 years old and able to form a binding contract. You confirm that your use of the Services is lawful where you live and that you will comply with all laws that apply to you, including sanctions, export control and anti-money laundering laws.
The Services are available to people and organizations outside comprehensively sanctioned jurisdictions. You confirm that you are not located in, organized in or ordinarily resident in Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk or Luhansk regions of Ukraine, or any other jurisdiction subject to comprehensive United States sanctions, and that you are not named on, or owned or controlled by anyone named on, the OFAC Specially Designated Nationals list or any similar list maintained by the United States, the United Nations, the European Union or the United Kingdom.
We may limit, suspend or end access where we reasonably believe it is needed for legal, security, risk or operational reasons.
03Your account and API key
You sign in with email, Google or a wallet through our authentication provider, Privy. Your account comes with an API key that spends your account balance. Keep your key confidential and treat it like a password.
You are responsible for all activity under your account and key, including requests made by software, agents and applications you run or authorize. If you believe your key has been exposed, revoke it from the dashboard and contact us.
04The API service
Orbio gives you one API for AI models, tools and media from independent providers. Requests are processed by the provider your request is routed to, under that provider’s own terms and usage policies, and those policies apply to your requests. The models, tools, providers and routes we offer may change over time.
Some features are labeled preview or beta. They are offered as they are and may change or end.
05Building on Orbio
You are welcome to build products, agents and applications on the Services and to offer them to your own users. Applications that sign their users in and charge them a fee use Sign in with Orbio, so each user spends from their own account.
Your API key belongs to your account. You agree not to share, sell, rent, lend, sublicense or pool API keys, and not to resell or redistribute access to the Services themselves as a standalone offering. This does not limit transfers of CREDIT tokens on public networks, which follow the protocol’s own rules.
06Acceptable use
You agree not to use the Services to:
- break the law, infringe the rights of others, or violate sanctions or export controls;
- create, distribute or request sexual content involving minors, or content that facilitates violence, terrorism, weapons capable of mass casualties, or serious harm;
- build or distribute malware, run phishing, spam or fraud, or attack, probe or overload any system without authorization;
- violate the usage policies of the model and tool providers your requests reach, including restrictions on using outputs to develop competing models;
- harass, impersonate or deceive people, or publish content you do not have the right to publish;
- interfere with the Services, bypass rate limits or access controls, or scrape the Services in a way that harms them; or
- launder funds, finance unlawful activity, manipulate markets or conceal the proceeds of crime.
We may investigate suspected misuse, block requests or models, and cooperate with lawful requests from authorities.
07Inputs and outputs
You keep the rights you have in what you send to the Services (“inputs”). As between you and Orbio, you own what the Services return to you (“outputs”), subject to the terms of the provider that produced them. You give us permission to process your inputs and outputs as needed to provide, secure and improve the Services.
Outputs are generated by AI and may be inaccurate, incomplete or unsuitable for your purpose. You are responsible for reviewing outputs before relying on them. Outputs are not professional, legal, financial or medical advice.
08Balance, pricing and payments
Usage is charged to your account balance at the prices shown in the Services, after each request completes. Your balance is a prepaid balance for Orbio services. It has no cash value, is not a deposit, and is used as you make requests. Prices may change going forward; changes do not affect requests already completed.
Card payments are processed by Whop, Inc., which acts as merchant of record, and Whop’s terms apply to the payment. If you turn on automatic top-up, you authorize the charges it describes until you turn it off. You are responsible for any taxes that apply to your use of the Services.
Purchases are final once completed, except where the law requires a refund. We may issue refunds at our discretion; contact hello@orbio.so. If you dispute a charge for balance you have already used, we may suspend your account and recover the amount owed.
09Protocol and onchain features
Orbio provides software interfaces to smart contracts on public blockchain networks, including Robinhood Chain, Ethereum and Solana, for staking, the CREDIT order book, bridging and the agent launchpad. CREDIT and ORBIO are governed by smart contracts on those networks. Orbio Labs develops the software.
Your wallet and its keys stay with you. Transactions you sign are submitted to the network, and Orbio may cover network fees for them. Scheduled protocol functions, such as harvests and reward distribution, run automatically under the published rules of the smart contracts. Rewards depend on the fees the protocol actually collects and vary over time. When you buy credit by card, Orbio completes the purchase as part of the service.
Tokens launched through the launchpad are created and promoted by the people who launch them. Listing, ranking or displaying a token in the Services is not an endorsement of it.
10Risks
You use digital assets and smart contracts at your own risk. Prices are volatile and a token can lose all of its value. Blockchain transactions are generally irreversible, and smart contracts, networks, bridges, wallets and data sources can fail or behave unexpectedly. Laws and regulations that apply to digital assets may change.
Nothing in the Services is investment, financial, legal or tax advice, or an offer or solicitation to buy or sell any asset. You are responsible for your own decisions and for any taxes that arise from them.
11Third-party services
The Services work with independent services, including model and tool providers, Privy, Whop, wallets, blockchain networks and social platforms. Their terms and privacy policies govern your use of them. When you connect a social account so that an agent can post, you are responsible for what is posted and for following that platform’s rules.
12Content you submit
You are responsible for the content you submit to the Services, including token names, symbols, images, descriptions, links and profile details, and you confirm you have the rights to it. You give us a worldwide, non-exclusive, royalty-free license to host, display and transmit that content to operate and promote the Services.
We may remove or restrict offchain content that breaks these Terms or creates legal or security risk. Content recorded on a public blockchain stays there. Takedown and copyright notices can be sent to hello@orbio.so.
If you send us feedback or suggestions, we may use them without restriction or payment.
13Intellectual property
The Services, including the interface, brand, documentation and software, belong to Orbio and its licensors. We give you a limited, revocable, non-exclusive, non-transferable right to use them under these Terms. Open-source components, such as the Orbio SDK, are licensed under their own licenses.
14Changes, suspension and termination
We may add, change, suspend or discontinue any part of the Services. We may suspend or close your account if you break these Terms, if your use creates risk for Orbio, its users or third parties, or if the law requires it. You may stop using the Services at any time. Sections that by their nature should continue, including those on payments, risks, disclaimers, liability, indemnity and disputes, continue after your use ends.
15Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, ORBIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES, OUTPUTS OR DATA WILL BE ACCURATE, AVAILABLE, SECURE OR UNINTERRUPTED.
16Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ORBIO AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, DIGITAL ASSETS OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO ORBIO IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS. Some jurisdictions do not allow these limits, and in those jurisdictions they apply to the extent permitted.
17Indemnity
You agree to defend, indemnify and hold harmless Orbio and its members, officers, employees, contractors and service providers from claims, losses and costs, including reasonable legal fees, arising from your use of the Services, your content, your applications and agents, or your breach of these Terms or the law.
18Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law rules. Before starting a formal claim, contact us at hello@orbio.so so we can try to resolve it informally within 60 days.
Any dispute that is not resolved informally will be settled by final and binding arbitration on an individual basis, administered by the American Arbitration Association under its applicable rules, conducted in English, by video conference or in Cheyenne, Wyoming. Either party may bring an individual claim in small claims court instead.
YOU AND ORBIO AGREE THAT CLAIMS MAY BE BROUGHT ONLY INDIVIDUALLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
You may opt out of arbitration by emailing hello@orbio.so within 30 days of first accepting these Terms. If arbitration does not apply, disputes will be heard only in the state or federal courts located in Laramie County, Wyoming, and you consent to their jurisdiction.
19General
These Terms and the Privacy Policy are the entire agreement between you and Orbio about the Services, together with any terms shown for a specific feature. If a provision is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it.
You may not transfer these Terms without our consent. We may transfer them, in whole or in part, to an affiliate or a successor, including an entity that takes over operation of the protocol interface.
We may update these Terms as the Services and the law change. The effective date shows the current version, and we will give notice of material changes through the Services. Continuing to use the Services after an update means you accept it.
